Terms of Service

This Terms of Service applies to our website, web application, and mobile applications (collectively, the "Service") operated by Vexor LLC ("Vexor", "we", "us", or "our"). By creating an account or using the Service, you agree to these terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old, have the authority to agree to these terms on behalf of yourself or your organization, and agree to be bound by this agreement and our Privacy Policy.

2. Description of Services

Vexor is a business management platform for contractors and field service businesses. The Service includes tools for job management, quoting, invoicing, employee scheduling, timeclock, GPS clock-in, job safety analysis (JSA), photo and video management, blueprint viewing, subcontractor coordination, client portals, reporting, and team messaging.

Features available to you depend on your subscription plan.

3. Account Registration and Responsibilities

You must provide accurate, current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify us immediately at support@vexorapp.com if you suspect unauthorized access to your account.

4. Workspace and Organization Responsibility

Workspace owners (contractors) are responsible for all activity within their workspace, including actions taken by employees and subcontractors they invite. Workspace owners control permissions and access levels for their team members.

You are responsible for ensuring your use of the Service complies with all applicable laws, including employment laws, privacy laws, and data protection regulations in your jurisdiction.

5. Employee and Employer Responsibilities

If you use Vexor to manage employees, you are responsible for:

  • Obtaining any required consent from employees before collecting location data, monitoring timeclock activity, or using GPS features.
  • Complying with all applicable employment laws, wage and hour laws, and labor regulations in your jurisdiction.
  • Accurately representing employment terms, pay rates, and schedules within the platform.

Vexor is a tool to support your business operations — we are not an employment agency and are not responsible for employer-employee disputes or compliance with labor laws.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any law or regulation
  • Upload malicious code, viruses, or harmful content
  • Harass, threaten, or harm others
  • Attempt to gain unauthorized access to other accounts or systems
  • Use the Service for purposes competitive with Vexor without our written permission
  • Reverse engineer or copy the Service
  • Upload content that infringes intellectual property rights

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

7. User-Generated Content

You retain ownership of all content you upload or create through the Service, including job data, photos, videos, documents, and messages ("User Content").

By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display it for the purpose of operating the Service. We do not claim ownership of your data.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

8. Subscription, Billing, and Payments

Paid features require an active subscription. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

We use Stripe to process payments. By providing payment information, you authorize recurring charges for your selected plan.

We may change subscription pricing with at least 30 days' notice. Continued use after the notice period constitutes acceptance of new pricing.

Annual subscriptions are non-refundable after 30 days of the billing date. Downgrades take effect at the next billing cycle.

9. Account Suspension and Termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these terms, your payment is overdue, or your use poses a risk to other users or the platform.

You may cancel your account at any time from your billing settings. Upon cancellation, access continues through the end of your paid period.

Upon termination, your data will be retained for 90 days after which it will be deleted. You may request a data export before deletion.

10. Service Availability

We provide the Service "as is" and "as available." We do not guarantee uninterrupted or error-free operation. We may perform maintenance that temporarily limits availability and will provide reasonable advance notice when possible.

11. Limitation of Liability

To the fullest extent permitted by law, Vexor and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of the Service.

Our total liability to you for any claim arising from the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vexor and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, your violation of these terms, or your violation of any law or third-party rights.

13. Third-Party Services

The Service integrates with third-party services including Stripe (payments), Google Maps (location features), Supabase (infrastructure), Resend (email), and Vercel (hosting). Your use of these integrations is subject to each provider's terms and privacy policies. We are not responsible for the actions or data practices of third-party services.

14. Data Handling

Our data collection and use practices are described in our Privacy Policy, which is incorporated into these terms by reference.

15. Changes to Terms

We may modify these terms at any time. We will provide at least 14 days' notice of material changes by email or in-app notification. Continued use after the notice period constitutes acceptance of the updated terms.

16. Governing Law

These terms are governed by the laws of [Governing Law Jurisdiction], without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of [Governing Law Jurisdiction].
